C-BAND MAILBOX, a Canadian corporation operating under C-Band Digital Innovations ("C-Band Mailbox", "we", "us", or "our") provides advanced digital mail management software and services that enable authorized Mail Center Operators ("Operators") to offer comprehensive online mailbox services to their customers (referred to herein as "Renters" or "you").

These Terms & Conditions for Mailbox Renters (this "Agreement") constitute a legally binding contract between you and C-Band Mailbox. By accessing, registering for, or using any of our Services (as defined below), you acknowledge that you have read, understood, and agree to be bound by all terms and conditions contained in this Agreement.

IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICES AND EXIT THE REGISTRATION PROCESS. C-BAND MAILBOX IS NOT WILLING TO PROVIDE SERVICES TO ANY PERSON OR ENTITY THAT CANNOT OR WILL NOT AGREE TO ALL TERMS HEREIN.

As used in this Agreement, the "Services" refer to C-Band Mailbox's proprietary digital mail management platform, including but not limited to: (a) our cloud-based software that enables Operators to scan, digitize, and manage physical mail; (b) the C-Band Mailbox website (cbandmailbox.com) and any related websites, mobile applications, or digital interfaces; (c) all features, functionalities, and tools provided through our platform; and (d) any additional services, features, or products that we may offer from time to time.

2.1 Authorization to Process Mail. By executing this Agreement and using the Services, you expressly and irrevocably authorize C-Band Mailbox and your selected Operator to: (a) receive physical mail and packages addressed to you at your Operator's location; (b) open, inspect, and scan the exterior and interior contents of your mail; (c) digitize and upload scanned mail to your digital mailbox; (d) perform action items you request (such as forwarding, shredding, or storage); and (e) process payments and manage your account in accordance with this Agreement.

2.2 Identity Verification Requirements. To comply with Canadian postal regulations, privacy laws, and anti-fraud measures, you must provide complete and accurate identity verification documentation before receiving any mail services. Required documentation includes: (a) valid government-issued photo identification (passport, driver's license, or provincial ID); (b) proof of address (utility bill, bank statement, or lease agreement dated within 90 days); and (c) any additional documentation required by your Operator or by applicable law. Verification may take up to five (5) business days. Your Operator reserves the right to refuse mail acceptance until verification is complete.

2.3 Business Address Restrictions. If you select a "Business Address" service, you acknowledge and agree that: (a) this address may only be used for marketing and promotional purposes; (b) you will not list this address as an official business address for business registration, government filings, or Google Business Profile if such use would violate Google's terms or applicable law; (c) any violation of this restriction will result in immediate termination and a CAD $100 penalty fee per violation; and (d) C-Band Mailbox and your Operator assume no liability for any consequences arising from improper use of the business address.

3.1 Available Services. Through the Services, you may request various action items ("Action Items") with respect to your mail, including but not limited to: (a) scanning the exterior and/or interior of mail items; (b) forwarding physical mail to addresses you specify; (c) shredding or recycling unwanted mail; (d) depositing checks to authorized bank accounts; (e) storing mail for future action; and (f) other services as may be offered by your Operator. Availability of specific Action Items is determined by your Operator in its sole discretion.

3.2 Action Item Fees. Each Action Item is subject to fees as set forth in your subscription plan and our then-current fee schedule (the "Fee Schedule"). Fees are charged in Canadian Dollars (CAD) and are non-refundable once an Action Item has been performed. You authorize C-Band Mailbox and your Operator to charge your payment method for all fees incurred.

3.3 Inaction and Storage Fees. If you request mail scanning but fail to select a subsequent Action Item within ten (10) days after the scanned mail becomes available in your digital mailbox, you may incur storage fees. If you fail to select an Action Item within thirty (30) days, your Operator may, in its sole discretion, destroy the physical mail item by secure shredding or recycling, and you will have no recourse for any loss resulting therefrom.

4.1 Subscription Fees. You agree to pay all subscription fees, Action Item fees, and other charges as set forth in your selected plan and the Fee Schedule. All fees are in Canadian Dollars (CAD), are due in advance (unless otherwise specified), and are non-refundable. Fees may be changed at any time with thirty (30) days' prior written notice to you.

4.2 Security Deposit. C-Band Mailbox may require a security deposit (the "Security Deposit") at any time to secure your performance under this Agreement. The Security Deposit may be held by C-Band Mailbox or your Operator and may be applied against any amounts you owe, including fees, penalties, or damages. If the Security Deposit is used, you must restore it to the full required amount within ten (10) days of written request. The Security Deposit does not bear interest and is not held in trust.

4.3 Payment Methods and Authorization. You must provide a valid credit card, debit card, or other approved payment method. You authorize C-Band Mailbox and your Operator to charge your payment method for all fees, charges, and penalties incurred under this Agreement. If payment fails, your account may be suspended immediately, and you will remain liable for all outstanding amounts plus interest at 1.5% per month (or the maximum rate allowed by law).

4.4 Suspension for Nonpayment. If you fail to pay any amount when due, your account will be suspended and made inactive. While suspended, you will not have access to the Services, but you will continue to incur charges. If your account remains suspended for more than sixty (60) days, C-Band Mailbox may terminate this Agreement and permanently delete all data, mail scans, and information associated with your account.

5.1 Term. This Agreement begins on the date you accept these terms (the "Effective Date") and continues until terminated by either party in accordance with this Section 5.

5.2 Termination by Renter. You may terminate this Agreement at any time by providing written notice to C-Band Mailbox and your Operator. However, termination will not be effective until: (a) you have paid all outstanding fees and charges; (b) you have directed final disposition of all mail in your Operator's possession; and (c) you have removed the Operator's address from all business registrations, government filings, and online listings. If you continue to use the Operator's address after termination, you will be charged your monthly subscription fee plus 50% penalty for each month of continued unauthorized use.

5.3 Termination by C-Band Mailbox. C-Band Mailbox may terminate this Agreement immediately, without notice, if: (a) you breach any term of this Agreement; (b) you fail to pay any amount when due; (c) you engage in fraudulent, illegal, or prohibited activities; (d) you violate any applicable law or regulation; or (e) C-Band Mailbox determines, in its sole discretion, that your use of the Services poses a risk to C-Band Mailbox, other users, or third parties.

5.4 Effect of Termination. Upon termination: (a) your access to the Services will cease immediately; (b) all pending Action Items will be canceled; (c) you will remain liable for all fees and charges incurred prior to termination; (d) C-Band Mailbox may delete all data, mail scans, and information associated with your account; and (e) your Operator may destroy any physical mail remaining in its possession after a reasonable retention period.

6.1 Ownership. All intellectual property rights in the Services, including but not limited to software, designs, trademarks, logos, content, and proprietary information, are owned by C-Band Mailbox or its licensors. This Agreement does not grant you any ownership rights in the Services.

6.2 License Grant. Subject to your compliance with this Agreement, C-Band Mailbox grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or business mail management needs during the Term. You may not: (a) copy, modify, or create derivative works of the Services; (b) reverse engineer, decompile, or disassemble the Services; (c) remove any proprietary notices or labels; (d) use the Services for any illegal or unauthorized purpose; or (e) sublicense, rent, lease, or otherwise transfer your rights under this license.

6.3 Feedback. Any feedback, suggestions, or ideas you provide to C-Band Mailbox regarding the Services ("Feedback") will be non-confidential and become the sole property of C-Band Mailbox. C-Band Mailbox may use, modify, and commercialize Feedback without any obligation to you.

7.1 Your Representations. You represent and warrant that: (a) you have the legal capacity and authority to enter into this Agreement; (b) all information you provide is accurate, complete, and current; (c) you will comply with all applicable laws and regulations; (d) you will not use the Services for any illegal, fraudulent, or prohibited purpose; and (e) you have obtained all necessary consents and authorizations to use the Services.

7.2 Disclaimer of Warranties. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. C-BAND MAILBOX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7.3 No Liability for Operator Actions. C-Band Mailbox provides software and platform services only. C-Band Mailbox does not handle, receive, scan, or process any physical mail. All physical mail handling is performed by your Operator, which is an independent third party. C-BAND MAILBOX DISCLAIMS ALL LIABILITY FOR ANY ACTS, OMISSIONS, ERRORS, OR DAMAGES ARISING FROM OR RELATED TO YOUR OPERATOR'S HANDLING OF YOUR MAIL, INCLUDING BUT NOT LIMITED TO LOST, DAMAGED, MISDIRECTED, OR INCORRECTLY SCANNED MAIL.

8.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL C-BAND MAILBOX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR OPERATORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) AND EVEN IF C-BAND MAILBOX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Maximum Liability Cap. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, C-BAND MAILBOX'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS, LOSSES, OR DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (a) CAD $250.00; OR (b) THE TOTAL AMOUNT OF FEES YOU PAID TO C-BAND MAILBOX IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

8.3 Indemnification. You agree to indemnify, defend, and hold harmless C-Band Mailbox, its affiliates, officers, directors, employees, agents, and Operators from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your breach of this Agreement; (c) your violation of any law or regulation; (d) your infringement of any third-party rights; or (e) any content, information, or materials you provide through the Services.

9.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

9.2 Mandatory Arbitration. ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION IN ACCORDANCE WITH THE ARBITRATION ACT (ONTARIO) AND THE RULES OF THE ADR INSTITUTE OF CANADA, INC. ("ADR INSTITUTE"). ARBITRATION SHALL BE CONDUCTED IN TORONTO, ONTARIO, CANADA, BEFORE A SINGLE ARBITRATOR. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING.

9.3 Waiver of Class Actions and Jury Trial. YOU AND C-BAND MAILBOX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE ACTION.

9.4 Exceptions to Arbitration. The following disputes are not subject to arbitration: (a) disputes seeking to enforce or protect intellectual property rights; (b) disputes related to theft, piracy, or unauthorized use; and (c) claims for injunctive relief. Such disputes may be brought in the courts of Ontario, Canada.

10.1 Privacy Policy. Your use of the Services is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Services, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

10.2 PIPEDA Compliance. C-Band Mailbox complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable Canadian privacy laws. You have the right to access, correct, and request deletion of your personal information in accordance with applicable law.

10.3 Data Security. While C-Band Mailbox employs industry-standard security measures, you acknowledge that no method of transmission over the Internet or electronic storage is 100% secure. C-Band Mailbox does not guarantee absolute security of your data.

10.4 Data Retention. Upon termination of this Agreement, C-Band Mailbox may retain your data for a reasonable period as required by law or for legitimate business purposes. After such period, C-Band Mailbox may delete your data permanently.

11.1 Entire Agreement. This Agreement, together with the Privacy Policy and Fee Schedule, constitutes the entire agreement between you and C-Band Mailbox regarding the Services and supersedes all prior agreements, understandings, or communications.

11.2 Amendments. C-Band Mailbox reserves the right to modify this Agreement at any time. Material changes will be communicated to you via email or through the Services. Your continued use of the Services after such notification constitutes acceptance of the modified terms. If you do not agree to the modifications, you must terminate this Agreement immediately.

11.3 Assignment. You may not assign or transfer this Agreement or any of your rights or obligations hereunder without C-Band Mailbox's prior written consent. C-Band Mailbox may assign this Agreement without your consent.

11.4 Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

11.5 Waiver. No waiver of any term of this Agreement shall be effective unless in writing and signed by the waiving party. A waiver of any breach shall not constitute a waiver of any subsequent breach.

11.6 Force Majeure. C-Band Mailbox shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, or failures of third-party service providers.

11.7 Notices. All notices required under this Agreement shall be in writing and delivered to: C-Band Mailbox, [Address], Toronto, Ontario, Canada, or to the email address associated with your account. Notices shall be deemed delivered when sent via email or three (3) business days after mailing via certified mail.
